1. Acceptance of Terms

Welcome to ClipToContent, operated by MULTTECH LLC. By accessing or using ClipToContent (the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent that you are at least 18 years of age, have legal capacity to enter into these Terms, and will comply with all applicable laws.

3. Account Registration

To use the Service, you must create an account. You agree to provide accurate information, maintain account security, and accept responsibility for all activities under your account. Accounts are for individual use only.

4. Service Description

ClipToContent provides AI-powered tools to transcribe audio/video content and generate summaries, show notes, blog posts, and newsletters. The Service uses third-party AI providers (OpenAI, Replicate, Deepgram) to process your content.

5. Content Ownership

You retain ownership of all content you upload. We do not claim ownership of your content. By uploading content, you grant us a limited license to process it solely to provide the Service. You own the generated outputs, but you are responsible for verifying their accuracy before use.

If you process third-party content (e.g., YouTube videos), you are responsible for ensuring you have the legal right to do so.

6. Acceptable Use

You agree NOT to use the Service to:

• Upload illegal, harmful, or infringing content
• Violate intellectual property rights or copyright
• Create or distribute malware or harmful code
• Abuse, circumvent, or interfere with the Service
• Impersonate others or engage in fraud

7. Subscription and Billing

We offer subscription plans (Free, Starter, Pro) with different credit allocations. Current pricing is available at /pricing.

Free Plan: New users receive 5 free credits to try the Service. After using your free credits, you must subscribe to a paid plan to continue using the Service.

Payment: Paid subscriptions are billed in advance (monthly or annually). We use Stripe for payment processing. You authorize us to charge your payment method automatically at each billing cycle.

Auto-Renewal: Subscriptions automatically renew unless you cancel before the renewal date. You will be charged the then-current subscription rate.

Credits: The Service operates on a credit-based system. Credits are consumed when you use features. Credits do not expire while your subscription is active. Unused credits may be forfeited upon cancellation.

Failed Payments: If payment fails, we may suspend your account and attempt to re-bill. Your account may be terminated if payment remains outstanding.

Taxes: Prices do not include applicable taxes. You are responsible for any sales, use, VAT, or other taxes.

8. Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You retain access until the period ends.

Refunds: Due to the digital nature of the Service and immediate consumption of credits, refunds are generally not provided except as required by law or at our sole discretion. See our Refund Policy for details.

Chargebacks: Initiating a chargeback without contacting us first may result in immediate account termination.

9. Disclaimers

AI Output Accuracy: The Service uses AI to generate content. AI outputs may contain errors, inaccuracies, or hallucinations. You are solely responsible for reviewing and verifying all generated content before use. AI outputs are not professional advice (legal, medical, financial, etc.).

Service Availability: The Service is provided "as is" and "as available." We do not guarantee uninterrupted or error-free operation. We may perform maintenance that temporarily interrupts the Service.

Third-Party Services: The Service relies on third-party providers (OpenAI, Replicate, Deepgram, Stripe, hosting). We are not liable for third-party outages or issues.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MULTTECH LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR OTHER INTANGIBLE LOSSES ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless MULTTECH LLC from any claims, liabilities, damages, or expenses arising from your use of the Service, your content, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

You may terminate your account at any time by contacting us or using account deletion features. We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if payment fails repeatedly.

Upon termination, your right to use the Service immediately ceases. Sections that by their nature should survive (ownership, disclaimers, limitation of liability) will survive termination.

13. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information. We do not sell your personal information.

14. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms with a new "Last Updated" date and/or sending an email. Your continued use after changes become effective constitutes acceptance. If you do not agree, you must stop using the Service.

15. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Wyoming.
